Video Crash running XBMC on Win XP

Hey All,

I just built a HTPC and it crashes when I am in xbmc.
This is XBMC ver 8.10 and Windows XP Pro x64

Specs:
Antec Fusion Micro HTPC Case
Foxxcon G45M-S Motherboard (GMA X4500HD)
Intel QX9750(engineer sample b/c I work at Intel) <just like a QX9650>
Zalman CNPS7700-Cu CPU Cooler with AS5
2GB Corsair DDR2 800MHz (or) 2GB Cosair DDR 1066MHz <1gb sticks>
3x Western Digital 1TB Green HDDs (one is boot, other two are RAID 0)
LG Electronics Blu-ray/HD-DVDRW Combo Drive Model GGCH20LK
Antec 500w HE PSU

Here is a shot of the screen (vga). It happens on HDMI to my Sony LCD also.
It does it in full mode and windowed.

Tried drivers (Intel chipset/Intel video/Realtek audio) from Foxconn on CD - had crash
Tried other sticks of ram - had crash
Tried Intel chipset and video from intel.com - had crash
Tried first sticks of ram - had crash

Nothing is overclocked, all temps and voltages are good.

I am stuck. If anyone knows what may be wrong please let me know.
