Recycling Hardware - Any Issues?

In the next few weeks I plan to upgrade my current computer with a new motherboard, CPU, and RAM. One idea I had was to take the existing system and make it into an HTPC. Here's what I 'm planning on replacing (so it can be used in the HTPC):
  • Processor: Intel Q6600
  • Motherboard: EVGA 780i
  • Ram: 4GB Corsair Dominator (don't have the exact name)
I know the system is probably overkill, but at least the hardware is getting reused. Looking at the Which Group Are You? thread, I would say I am in group 5. I'm willing to pay the bit extra for a 5450 to be able to bitstream the audio, as I have some HD content that I think could take advantage of it.

My main goal is to stream HD content stored on my main computer, over gigabit to the HTPC. I haven't picked out a case, hard drive, or other accessories yet, but the list here seems to have some pretty good recommendations. However, do you see any issues with reusing this setup?
